These Terms and Conditions of Sale (“Terms”) govern the sale of products by DNATECH LTD to you. Please read them carefully before placing an order. By placing an order through dna-tech.uk (the “Website”) you agree to be bound by these Terms. If you do not agree, you must not place an order.

In these Terms, “we”, “us” and “our” means DNATECH LTD, and “you” and “your” means the person placing the order.
2. Important — nature of our products
All products sold by us are supplied strictly for laboratory and scientific research purposes only. They are NOT for human or animal consumption and are not drugs, foods, cosmetics, medical devices, or supplements of any kind. They are not intended to diagnose, treat, cure, or prevent any disease or condition. By ordering, you confirm that you have read and accept our Research Use Disclaimer, which forms part of these Terms.
3. Eligibility
To place an order you must be at least 18 years old, legally able to enter into a binding contract, and purchasing the products for lawful research use. You are responsible for ensuring that your purchase, possession, handling and use of the products is lawful in your jurisdiction.
4. Products
We take care to describe and display products accurately. However, descriptions, images, specifications and any certificate or analysis data are provided for general information and may vary slightly. Minor variations do not entitle you to reject the goods. We may correct errors and change product specifications without notice.
5. How a contract is formed
- When you place an order, you make an offer to buy the products. Order placement does not create a binding contract.
- We will send an acknowledgement email confirming we have received your order. This is not acceptance.
- A binding contract is formed only when we send an email confirming dispatch of the products, or otherwise confirm acceptance.
- We may decline or cancel any order at our discretion (for example, where products are unavailable, where we cannot verify your details or research use, where pricing was incorrect, or where we suspect the order breaches these Terms or applicable law). If we cancel a paid order, we will refund you in full.
6. Price and payment
- Prices are shown on the Website in pounds sterling (GBP) and are correct at the time of display. We may change prices at any time, but changes will not affect orders we have already accepted.
- Prices do not include VAT, as DNATECH LTD is not VAT-registered. Any delivery charges are shown separately at checkout before you pay.
- Payment is taken at the time of order through our payment provider, Fena, and any other payment options shown at checkout. You confirm that the payment method used is yours.
- If a price is obviously incorrect, we are not obliged to supply at that price and will contact you before proceeding.
7. Delivery
Delivery is covered by our Shipping & Delivery Policy. Any delivery dates are estimates only. Risk in the products passes to you on delivery; ownership passes to you once we have received full payment.
8. Cancellation, returns and refunds
Your rights to cancel, return and obtain refunds are set out in our Returns & Refunds Policy, which forms part of these Terms. Because of the nature of our products (sealed for safety and supplied for research use), change-of-mind returns are restricted as described in that policy. Nothing in these Terms affects your non-excludable statutory rights in respect of faulty, damaged or misdescribed goods.
9. Your responsibilities and warranties
By ordering, you represent, warrant and undertake that:
- you are acquiring the products for bona fide laboratory or scientific research only, and not for human or animal consumption or any clinical use;
- you and your personnel are appropriately qualified and competent to handle, store, use and dispose of the products safely;
- you will comply with all applicable laws, regulations, import controls and safety requirements relating to the products;
- you will not resell, supply or label the products for human or animal consumption, nor make any medical or therapeutic claim about them; and
- you will not resell the products except in compliance with these Terms and all applicable laws.
10. Limitation of liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law (including your statutory rights as a consumer).
Subject to that, and to the maximum extent permitted by law:
- we are not liable for any loss or damage arising from your use, misuse, handling or storage of the products, or from any use of the products for human or animal consumption or any purpose other than research;
- we are not liable for business losses, loss of profit, loss of data, or any indirect or consequential loss; and
- our total liability arising out of or in connection with any order will not exceed the price paid for the products in that order.
11. Indemnity
You agree to indemnify and hold us harmless against all claims, losses, damages, costs and expenses arising from your breach of these Terms, your misuse of the products, or your use of the products for any purpose other than lawful research.
12. Intellectual property
All content on the Website (including text, images, logos, branding and the “DNA-Tech” name) is owned by or licensed to us and is protected by intellectual property laws. You may not copy or use it without our written permission.
13. Privacy
We process your personal data in accordance with our Privacy Policy.
14. Events outside our control (force majeure)
We are not liable for any failure or delay in performing our obligations caused by events outside our reasonable control, including supply failures, carrier delays, and acts of government.
15. General
- We may update these Terms from time to time. The version in force at the time you order applies to that order.
- If any provision is found to be unlawful or unenforceable, the remaining provisions continue in force.
- No delay in enforcing these Terms is a waiver of our rights.
- You may not transfer your rights under these Terms without our consent. We may transfer ours.
- These Terms are the entire agreement between us regarding the products.
16. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of England and Wales, and are subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your home jurisdiction.
